Procedures concerning shareholder information for the General Meeting of 16 May 2008 and the 2007 Registration Document.
GENERAL MEETING OF 16 MAY 2008
GL events informs shareholders that the Ordinary and Extraordinary Shareholders' Meeting will be held in Lyon, on Friday 16 May 2008 at 9:30 a.m., Cité Centre des Congrès, Salon Roseraie, 50 avenue Charles de Gaulle, 69006 Lyon.
The first shareholders meeting notice ("avis de reunion") was published in French in the Bulletin des Annonces Légales Obligatoires (BALO) on 9 April 2008 and the second notice ("avis de convocation") on 28 April 2008. They included the agenda, the draft resolutions and the main procedures for participating and voting at the Meeting. These two notices as well as the Board of Directors' report on the draft resolutions can be consulted at the website http://www.gl-events.com.
In compliance with article R 225-85 of the French commercial code, shareholders may participate in the meeting, vote by mail or be represented by proxy, on condition they have provided proof that they are shareholders by registering their shares in their name or in the name of an intermediary in an account under their name by the third business day preceding the meeting at 00:00 hours Paris time, either in the registered share account maintained for the company by CM-CIC Securities, Département Emetteurs, 6 avenue de Provence, 75441 Paris Cedex 09, or in a bearer share account maintained with an authorized bank or financial intermediary maintaining the share account.
Registration or recording the shares in a bearer share account maintained by an authorized bank or financial intermediary must be demonstrated by a participation certificate (attestation de participation) issued by the latter, to be enclosed with the form for voting by mail or proxy form or the request for the admission card established in the name of the shareholder or on behalf of the shareholder represented by the registered intermediary. A certificate is also issued to a shareholder that wishes to physically participate at the meeting not having received the admission card by the third business day preceding the meeting at 00:00 hours Paris time.
A single form for voting by mail or by proxy may be obtained by shareholders as of the date of the notice of meeting at the registered office of the company (with the request to be submitted to the attention of Mr. Erick Rostagnat) or from CM-CIC Securities, Département Emetteurs, 6 avenue de Provence, 75441 Paris Cedex 09, or may be requested by mail, fax or e-mail. All requests must be received or submitted no later than six days before the meeting date.
These forms will be valid only if, after having been duly completed, received at the registered office sent to the attention of Mr. Erick Rostagnat or CM CIC Securities at least three days before the meeting.
For owners of bearer shares, this form must be accompanied by a participation certificate issued by the authorized financial intermediary maintaining their account.
All shareholders having already voted by mail, that were sent a proxy or have requested an admission card, will no longer have the possibility of choosing another means of participating in the meeting.
Procedures for participating in and voting at the meetings through videoconferencing or telecommunications technologies have not been adopted for the ordinary and extraordinary shareholders' meeting. In consequence, no designated site in accordance with article R 225-61 of the French commercial code has been established for this purpose.
2007 ANNUAL REPORT
The 2007 Annual Report that constitutes the registration document was filed with the French financial market authorities (Autorité des Marchés Financiers or AMF on 29 April 2008. Copies are freely available to the public in compliance with applicable regulations and may be consulted at the website of the company (http://www.gl-events.com) or the AMF.
The registration document includes notably the report of the Chairman of the Board of Directors on corporate governance and internal control, the Auditors' reports, required disclosures on the share buyback program, the annual information document and information on Auditors' fees.
