Terms for the provision of information concerning the General Meeting of Shareholders on 24 April 2007 and the 2006 Reference Document.
GENERAL MEETING OF 14 MAY 2007
GL events informs its shareholders that its Combined Annual and Extraordinary General Meeting will be held in Lyon, on Monday 14 May 2007 at 16:00 at the Cité Centre de Congrès de Lyon (Lyon Convention Centre) in the Salon Roseraie room, 50 avenue Charles de Gaulle, 69006 Lyon.
The Notice of Meeting was published in the BALO (Bulletin of Mandatory Legal Notices) on 4 April 2007 and contains the Meeting Agenda, the proposed resolutions and the main terms regarding participation and voting at the Meeting. The Notice of Meeting as well as the Board of Directors report concerning the proposed resolutions can be consulted on the company website at http://www.gl-events.com.
Any shareholder may attend the General Meeting in person or by proxy, regardless of the number of shares owned. In order to participate, be represented, or to vote by letter at the General Meeting, the persons concerned must have brought confirmation of their shareholding:
- Concerning holders of registered shares, through the registration of said shares in the issuer or managed registration account at least five days before the date of the Meeting.
- Concerning holders of bearer shares: by depositing at the CIC LYONNAISE DE BANQUE, Securities Issuers division, Chemin Antoine Pardon, 69160 Tassin La Demi Lune, France, at least five days before the date of the Meeting, a certificate from an authorised agent certifying the unavailability of their shares until the Annual Meeting.
Shareholders may obtain a single voting form by post or by proxy from the registered head office. Requests for a single voting form in order to vote by letter must be made by registered letter with acknowledgement of receipt, and reach the company at least six days before the date of the Meeting. The voting indications will only be taken into account if the completed forms reach the company at least three days before the holding of the Meeting.
ANNUAL REPORT 2006
The 2006 Annual Report was filed with the French Financial Market Authorities (AMF) on 17 April 2007. It is held freely available to the public in accordance with current regulations and is available on the website http://www.gl-events.com) and on the AMF website.
The Reference Document notably includes the report by the Chairman of the Board of Directors concerning corporate governance and internal control, the reports of the Auditors, the information required regarding the description of the share repurchase programme, the annual information document as well as information relating to the fees of the Auditors.
